Code & Co. provides Tech & Product Due Diligence to Bregal Unternehmerkapital ahead of its majority-stake acquisition of SEMA, a market leader in the field of 3D/2D CAD/CAM software

Timber construction is on the rise, particularly in residential construction, and offers clear advantages in terms of resource efficiency. With the sophisticated functionality of its flagship CAD/CAM software, SEMA facilitates its users’ routine tasks, which leads to time savings of up to 70% for its customers.

Founded in 1984, SEMA provides design, process planning, and production CAD (“computer-aided design”) / CAM (“computer-aided manufacturing”) software covering the full range of activities around timber and stairs construction for carpentries and prefabrication firms.

Headquartered in the Allgäu region of southern Germany, with further locations in France, Switzerland, Austria, and Italy, SEMA currently employs approximately 90 employees. SEMA’s programs are available in eleven languages and are used by more than 10,500 customers in 54 countries, especially for the planning, visualization, and manufacturing of buildings, roofs, and facades.

Scope of work

Code & Co. provided Tech & Product Due Diligence to Bregal Unternehmerkapital ahead of the majority-stake investment, compiling an in-depth analysis of SEMA’s flagship desktop (Windows) software, architecture, and technology stack, and security. Furthermore, Code & Co. assessed the company’s ambitious cloud and internationalization plans, as well as internal processes, team setup, and product capabilities, including PMI of a market-leading, industry-focused ERP that SEMA acquired.

This transaction underlines Code & Co.'s strong positioning as an established technology and product advisor on private equity mandates to clients across Europe.
