Code & Co. provides AI & Tech Due Diligence to Main Capital Partners ahead of its acquisition of Tribal Group, a UK-based provider of mission-critical Student Information Systems and education management software.
Main Capital Partners B.V. has entered into a conditional agreement to acquire all operating subsidiaries directly held by Tribal Group plc, a UK-listed education software and services group trading on the AIM market of the London Stock Exchange (AIM: TRB). The Sale will be for an aggregate cash consideration of approximately £189.3 million, and the sale requires shareholder approval at a general meeting expected on October 2, 2026. Upon completion, the operating businesses will transition from public-to-private ownership under Main, and the partnership will focus on accelerating cloud adoption, expanding Tribal's product offering, increasing penetration across its existing customer base, and pursuing selective acquisitions to broaden its capabilities and geographic reach.
Scope of work
Code & Co. reviewed Tribal's product portfolio, spanning its student systems of record and the modular add-on applications sold across them, together with the commercial trajectory of the business: recurring revenue composition, retention, subscription adoption and cloud migration progress. The assessment covered the product roadmap toward a composable platform, the statutory reporting integrations that anchor customer value in each market, and the company's AI strategy, from internal tooling to the planned portfolio-wide intelligence layer and its governance principles.
Code & Co. examined the technical architecture and deployment models across the estate, the modernization approach for the core systems, the technology stack and its funded modernization roadmap, and the engineering organization, including its size, distribution, retention and software development lifecycle.
