Engagement — Add-on Due Diligence

Code & Co. advises GENII, a portfolio company of funds advised by BU, on Tech & Product Due Diligence ahead of its acquisition of Jarosch & Haas GmbH, a rapidly growing provider of software solutions for public transport.

GSG GENII Software Group GmbH ("GENII") has acquired Jarosch & Haas GmbH ("Jarosch & Haas"), a family-run provider of software solutions for public transport. This strategic acquisition expands GENII’s offering for the public sector and further strengthens its presence in the European market.

Scope of Work

Code & Co. conducted a thorough evaluation of Jarosch & Haas, focusing on the technological, operational, and engineering aspects of its public transport ticketing software platform.

The analysis included a review of the platform’s architecture, infrastructure, technology stack, security posture, and regulatory environment, including ISO certifications. In addition, Code & Co. examined the company’s operational setup and scalability.

Furthermore, the engineering organization, software development lifecycle, and quality assurance practices were assessed.
